General Terms of Service - Partner Program

To become an affiliate of the Opinion League partner program, you must accept these General Terms of Service. Please read them carefully before registering. By validating the registration form, you accept these General Terms of Service without reservation.

Agreement entered into between:

Cre'Online, an EURL with share capital of EUR 5,000, registered with the Trade and Companies Register of Saint-Pierre under number 539 041 640, with its registered office at 5B Chemin Palama, 97432 Saint-Pierre (France), hereinafter "Cre'Online";

AND

the company, association or individual named in the registration form, subject to acceptance of their application by Cre'Online under the conditions described below, hereinafter "the Affiliate";

together referred to as the "Parties".

Preamble

Cre'Online operates Opinion League, a rewards panel on which members earn points by answering surveys and completing missions, then redeem those points for gift cards and other rewards. Cre'Online has created, developed and makes available to the Affiliate an affiliate platform accessible over the Internet (the Opinion League partner area), allowing the Affiliate to promote Opinion League and generate performance-based revenue.

The Affiliate freely publishes and operates one or more websites, applications or promotion channels listed on their account. They wish to generate revenue by bringing qualified signups to Opinion League, through the authorised means of promotion (distribution of links, banners, content, and any promotion operation compliant with these terms).

The Parties undertake to comply with the clauses of this agreement. The following has been agreed.

ARTICLE 1 - Definitions

Platform: software designed and operated by Cre'Online, accessible over the Internet (the Opinion League partner area), allowing the Affiliate to set up, track and manage their promotion and compensation.

Affiliate: a natural or legal person, connected to the Internet and operating one or more websites, applications or promotion channels under their sole responsibility, registered on the Platform.

Internet user: a natural person connected to the Internet, likely to register on Opinion League through the Affiliate's links.

Qualified signup (Lead): an Internet user brought by the Affiliate who completes a valid registration on Opinion League and meets the qualification conditions defined on the Platform (in particular email verification, absence of fraud and a minimum level of activity).

CPA: cost per action, the compensation paid to the Affiliate for each qualified signup.

Account: a secure space in which the Affiliate accesses the management of their promotion, the display and export of their reports, the modification of their personal or professional details, and technical support.

ARTICLE 2 - Purpose of the agreement

2.1: The purpose of this Agreement is to define the terms and conditions under which Cre'Online provides its affiliate platform for persons wishing to subscribe as an Affiliate to the Platform.

2.2: The Affiliate receives revenue from the qualified signups they bring to Opinion League. Having reviewed the features, the Affiliate has acknowledged that the Platform meets their needs and has accepted it.

ARTICLE 3 - Warranties

3.1: The Affiliate warrants that they lawfully carry out an activity in compliance with all legislation applicable to them, in particular labour and social security law, intellectual and industrial property rights, the rules relating to the automated processing of personal data, and all regulations in force.

3.2: The Affiliate undertakes to indemnify Cre'Online against any judgments and all judicial and extrajudicial costs that the latter may incur as a result of third-party claims on any of the grounds referred to in clause 3.1.

3.3: The Affiliate declares that they have received from Cre'Online all information relating to the features of the Platform as well as all services offered by Cre'Online and the invoicing arrangements.

ARTICLE 4 - Affiliate's commitments

4.1: The Affiliate undertakes to distribute the promotion links and materials made available by the Platform fairly and, where possible, prominently, in order to enable the promotion of Opinion League.

4.2: The Affiliate undertakes to comply with the Platform's rules and not to breach them by engaging, unlawfully or abusively, in the following:

4.3: Failure to comply with clause 4.2 may result in the permanent exclusion of the Affiliate from the Platform, without the possibility of re-registration and without the possibility of receiving the commissions generated.

4.3.1: Cre'Online reserves the right to file a complaint against the Affiliate if the latter contests the decision taken, in particular in the case of abuse relating to the use and distribution of promotion campaigns or the Affiliate's failure to comply with clause 4.2.

4.4: The Affiliate undertakes to comply with the ethical recommendations applicable to advertising and electronic prospecting, in particular the law on transparency (known as the loi Sapin), Law No. 2004-575 of 21 June 2004 on confidence in the digital economy, and the French Postal and Electronic Communications Code.

4.5: The Affiliate undertakes not to divert in any way the information, texts and resources used on the Platform or on their Account for their own purposes, and not to appropriate, in whole or in part, the ideas, tools and concept of the Platform.

4.6: The Affiliate undertakes not to disclose the content of the Platform to a third party. Access to the Affiliate's Account is granted solely for the purpose of consulting, tracking and managing their Account.

4.7: The Affiliate undertakes to adopt a responsible and respectful attitude towards the Platform and the persons with whom they will be in contact through their Account, digital or telephone correspondence, or a discussion forum.

ARTICLE 5 - Responsibility for the Affiliate's media

5.1: The Affiliate is solely responsible for the content of their websites, applications and promotion channels, which must not:

If the Affiliate uses or attempts to use the Platform for the purposes of rigging, hacking or any other corruption of security or features, the Agreement will be terminated and the Affiliate may be liable for damages and other penalties, including, where applicable, legal proceedings.

ARTICLE 6 - The company's obligations

6.1: Cre'Online undertakes to do everything possible to ensure access to the Platform 24 hours a day, and to maintain the best level of quality of its tools as well as the optimal availability of its hardware, software and human resources.

6.2: Cre'Online provides the Affiliate with an administration interface featuring activity indicators and reports.

6.3: Cre'Online undertakes to provide a regular service and secure content for the Affiliate. All information exchanged between the Affiliate and the Platform will bind only the parties concerned.

6.4: Cre'Online undertakes not to disclose personal data to a third party without first informing the affiliate(s) concerned.

6.5: Cre'Online reserves the right to deactivate any affiliate account that does not comply with the Platform's charter, that is not consistent with the ethics of the Internet, or that could harm the image of the company or of advertisers.

6.6: Cre'Online provides the Affiliate with conversion tracking via postback (server to server). The Affiliate is responsible for configuring and securing their postback URL. Tracking relies on the identifiers transmitted in the Affiliate's links (sub_id, click_id).

ARTICLE 7 - Limitation of liability

7.1: The Affiliate accepts the risks inherent in communication networks, it being understood that Cre'Online is only bound by an obligation of means.

7.2: Cre'Online may not be held liable for problems related to external services that may alter the integrity of the Platform (use of incompatible software, hosting problems, etc.).

7.3: Cre'Online may not be held liable for the total or partial cancellation of an Affiliate's credits. It will make available to the latter any document likely to inform them of this action and will communicate them upon request.

7.4: Cre'Online may not be held liable for occasional late payment.

7.5: Cre'Online may not be held liable in the event of a violation by the Affiliate of the regulations applicable to their promotion and collection operations (in particular the Postal and Electronic Communications Code and the regulations relating to personal data). The Affiliate is solely responsible for the lawfulness of their means of promotion and of the data they process.

ARTICLE 8 - Financial terms and payments

8.1: Cre'Online offers the Affiliate performance-based compensation (CPA), paid for each qualified signup brought to Opinion League.

8.2: Each qualified signup is paid per unit. The unit rate is set per country and may be negotiated by volume; the applicable rate card is available on the Platform and may be revised, the Affiliate being informed via the Platform.

8.3: Invoice requests are generated on the basis of the statistics produced by the Platform, which constitute the sole reference for calculating the Affiliate's commissions.

8.4: Two payment methods are made available to the Affiliate: bank transfer and PayPal. The Affiliate may choose only one payment method and undertakes to provide correct billing information.

8.5: A detailed invoice request, covering the qualified signups of the previous month, is sent to the Affiliate on the 5th of each month by electronic means. Payment is made against invoice for companies.

8.6: Payment is made within 30 days. As soon as payment is made, a statement is generated on the Affiliate's Account.

8.7: Fees relating to the payment of an invoice request may apply. These fees are deducted from the account balance when the invoice request is settled.

8.8: Affiliates with company status must send Cre'Online an invoice electronically in PDF format or by post, containing the following information:

8.9: If the company is not subject to VAT, it must state this in its invoice and provide an amount excluding tax.

8.10: As soon as payment is confirmed, the Affiliate is required to declare the income they have received to the competent authorities, in particular the tax administration.

8.11: Invalid signups (fraud, deleted accounts, inactive accounts) are identified and excluded from compensation. A signup already paid and then invalidated gives rise to an adjustment on the following billing cycle.

ARTICLE 9 - Confidentiality clause

9.1: Both parties undertake not to disclose any information to a third party regarding the performance of this Agreement.

9.2: This commitment also extends to not disclosing any statistical or technical information of either party.

ARTICLE 10 - Termination

10.1: This Agreement takes effect on the day of its acceptance and will expire after its cancellation by both parties, subject to compliance with these clauses.

10.2: The Agreement may be terminated by simple request by electronic means.

10.3: The Agreement may be terminated as of right, at the discretion of Cre'Online, without any formality or formal notice being required, if Cre'Online considers that the Affiliate has not complied with one or more of these General Terms of Service.

10.4: Cre'Online may in particular deactivate the Affiliate's Account without notice in the event of unlawful content or breach of these General Terms of Service, in particular the obligations described in articles 4 and 5. Signups qualified and validated before termination remain due, subject to the adjustments provided for in article 8.

10.5: Cre'Online reserves the right to seek compensation in court for any loss it may have suffered in the event of non-compliance with this Agreement.

ARTICLE 11 - Intellectual property

11.1: Each Party is the sole owner of its trademarks, names, acronyms, logos, colours, graphics and all other distinctive signs, as well as those that may be created under the Agreement, unless expressly stated otherwise.

11.2: The Parties undertake to respect all of the other's rights to the elements referred to in the preceding paragraph and refrain from creating any analogy in the mind of the public, for any purpose and by any means whatsoever.

11.3: The Affiliate declares that they are the legitimate holder of all intellectual property rights, or have acquired all rights necessary for the performance of this Agreement.

11.4: As such, the Affiliate indemnifies Cre'Online against any claims relating to the services or works from any third party invoking the violation of any right, in particular against any action for infringement, unfair or parasitic competition brought by a third party, and will bear all related costs and damages.

ARTICLE 12 - Governing law

12.1: The Agreement is subject to French law. Any dispute or disagreement that may arise between the parties regarding the interpretation or performance of the Agreement will fall under the jurisdiction of the Commercial Court of Saint-Pierre (France), including for urgent or protective proceedings, in summary proceedings or by application, if the parties have not decided to submit it beforehand to amicable expert assessment or ad hoc arbitration.

12.2: The signature is made electronically. Cre'Online retains all data in a database in order to prove that it was indeed the Affiliate who accepted this Agreement.
